Markwins to buy Physicians Formula
US-based mass-market beauty company Markwins to is buy masstige cosmetics and skincare brand Physicians Formula. The two companies entered into a definitive merger agreement under which Markwins will acquire outstanding shares of Physicians Formula’s common stock for $4.90 per share in cash, or around $74.9m. This represents a premium of 33% on Physicians Formula’s closing stock price on August 14. In August, Physicians Formula announced it had entered into a merger agreement with private-equity company Swander Pace Capital, which it has now terminated. The brand is to pay a termination fee of $1.29m to Swander Pace Capital. The deal with Markwins represents an increase of 15% or $10m on the price offered by Swander Pace Capital. Through the deal, Physicians Formula is set to benefit from Markwins’ international distribution network. Markwins, meanwhile, will gain a more premium offer to complement its mass product portfolio. Physicians Formula was founded in 1937 is sold in more than 25,000 stores including Wal-Mart, Target, CVS and Rite Aid.

In brief
LVMH is to discontinue Bulgari’s skincare business, according to press reports. The brand entered the skincare category in 2007 and the line was sold in limited distribution. LVMH acquired Bulgari in 2011. US-based Revlon is to restructure its business in parts of Europe, North and South America, which will result in 250 job cuts and reduce annual costs by $10m. Revlon will close its manufacturing plants in France and in Maryland, US, consolidate Latin America and Canada into one region and downsize its French and Italian branches. Restructuring charges are expected to be $25m. L’Oréal has invested €3.5m in a new training and education center in Moscow, Russia. The center is dedicated to hairdressers, beauty advisors and pharmacists and aims to offer 100 training sessions every month. The facility will also house an evaluation center to develop tailored products for Russian consumers. US-based direct seller Nu Skin is to triple its number of stores and sales support centers in China by 2017. It will also invest $55m in regional headquarters in Shanghai that will be completed in 2013 and will include R&D and manufacturing facilities. The company is also to implement a three-pronged sales strategy by selling its products through Nu Skin stores, via direct-sales agents and through third-party stores operated by “independent marketers”. Nu Skin first launched in China in 2003 via retail stores.

Coty pushes back IPO
Coty is to push back its Initial Public Offering (IPO) to the first or second quarter of 2013. The IPO, which is expected to raise $700m, was originally scheduled to take place at the end of this year. Coty revealed its plans to list on the stock market in July, just weeks after it withdrew its bid to acquire direct seller Avon. In other news, Coty announced that it has appointed Jean Mortier as president of its Prestige business. Mortier replaces Michele Scannavini, who was named ceo of Coty, following the retirement of chief executive Bernd Beetz. Mortier was formerly svp commercial and came to Coty in 2005 as part of the group’s acquisition of the Calvin Klein Cosmetics business from Unilever.

Birchbox expands to Europe
Birchbox has acquired Francebased sampling company JolieBox. JolieBox has operations in France, Spain and the UK, which will allow Birchbox to expand its global footprint. With this acquisition, Birchbox claims it will have more than 400 brand partners. The company says it has more than 100,000 monthly subscribers. In April 2012, Birchbox launched a sampling service for men called Birchbox Man.

SEC drops Avon investigation
The US Securities and Exchange Commission will not take enforcement action against direct seller Avon in its probe into whether the company improperly shared information with analysts. The move eliminates one problem from a long list for Avon. The company is still under investigation for allegedly bribing government officials in China. New ceo Sheri McCoy, who took over in April, is trying to turnaround the company, which has suffered a series of earnings misses, operational issues and a decline in its sales representative base.
